1. Purpose

SurpaTex LLC offers professional exterior maintenance services, including but not limited to:
- Power washing and soft washing.
- Junk removal (only non-hazardous waste).
- Lawn care (basic maintenance).
- Pavement Marking and Striping.
These services may be purchased as one-time services or as part of annual maintenance plans through the official website or other authorized channels of SurpaTex LLC.
These Terms and Conditions apply to all clients, whether individuals or legal entities, and to all channels through which SurpaTex LLC services are contracted.
SurpaTex LLC reserves the right to modify, expand, or discontinue any of the services offered, always in accordance with applicable laws and with prior notice to clients when applicable.
By contracting any of our services, the client declares that they have read, understood, and fully accepted these Terms and Conditions.

2. Hiring Process
SurpaTex LLC follows a clear and structured process for hiring services to ensure transparency, accuracy, and satisfaction for both parties. Clients can request one-time services or subscribe to annual maintenance plans through the official website or other authorized channels.
2.1 For One-Time Services
The process to book a one-time service includes the following steps:
Initial Request and Scheduling
The client submits a service request through the website by completing a form and selecting a preferred date and time for the initial evaluation visit. This visit can be scheduled and rescheduled freely by the client online via the website, without intermediaries. It is recommended to reschedule at least 48 hours in advance to ensure availability. For rescheduling with less than 48 hours’ notice, SurpaTex LLC will make reasonable efforts to accommodate the new date but cannot guarantee immediate availability and may apply additional charges if applicable.
On-Site Evaluation
A SurpaTex LLC representative will visit the client’s property to assess the service area, confirm the scope of work, and determine the final quote. This visit is free of charge and requires no prior payment.
Quotation and Approval
After the evaluation, the client will receive an official quotation. The client must review and approve the quotation before proceeding.
Important: Prices shown on the website are estimates based on specific parameters listed in each service description. These parameters (e.g., square footage, type of debris, surface conditions, access, etc.) will be verified during the on-site inspection. If discrepancies are found, the final price will be adjusted accordingly.
Payment and Service Scheduling
Once the quotation is approved, the client proceeds with payment, which must cover at least the minimum fee established by SurpaTex LLC. Upon payment confirmation, SurpaTex LLC will schedule and confirm the service date.
Service Execution
The service is performed on the agreed date. Upon completion, the area will be clean and in accordance with the scope described in the quotation.
No-Show and No-Notice Cancellation Policy
If the client is not present at the property or does not allow access at the scheduled date and time without prior notice, SurpaTex LLC may charge a minimum fee covering travel and service preparation. Lack of notice may also result in automatic cancellation without refund.
2.2 For Annual Service Plans
The process to subscribe to an annual maintenance plan includes:
Plan Selection and Form Submission
The client selects a plan via the website and submits contact information along with a preferred date and time for the initial visit.
Property Inspection
A SurpaTex LLC specialist will visit the property to verify site conditions and confirm service requirements.
Important: Prices listed for plans are based on standard parameters. If the property does not meet these conditions or adjustments are needed (larger areas, excess debris, etc.), the price may be revised before finalizing the contract.
Personalized Service Agreement
After the inspection, the client will receive a personalized service agreement tailored to the selected plan and the property’s specific characteristics.
Digital Signature and Payment
The client must review and digitally sign the agreement using legally valid platforms in accordance with Texas and U.S. laws. The digital signature has the same legal validity as a handwritten signature and guarantees the integrity and authenticity of the agreement.
The full amount of the annual plan is charged upfront. Once the agreement is signed and payment confirmed, the plan becomes active.
Scheduled Maintenance
Service visits are scheduled according to the frequency defined in the chosen plan. SurpaTex LLC manages and performs all recurring services as stipulated in the agreement.
Satisfaction Guarantee
By subscribing to any of our annual plans, full payment is required upfront, but client´s satisfaction is guaranteed from the very first service.
- Guarantee: If the client is not satisfied with the first service, the full payment will be refunded.
- If the client decides to continue, subsequent payments will follow the contract terms.

2.3 Authorized Official Channels
To ensure security and proper management, SurpaTex LLC only accepts requests, contracts, and modifications through:
- Official website
- Corporate email
- Official customer service phone line
Requests via unofficial channels will not be processed or considered valid.
2.4 Availability and Possible Delays
SurpaTex LLC strives to strictly meet scheduled dates and times. However, during peak demand periods, adverse weather, or unforeseen factors, delays may occur. In such cases, the client will be notified as early as possible to minimize inconvenience.
3. Payments, Prices, Adjustments, and Cancellations
3.1 General Payment Terms
All services offered by SurpaTex LLC, whether one-time or part of an annual plan, must be paid in full before the scheduled service date, unless otherwise agreed in writing.
For annual plans, the total amount is charged upfront once the client has digitally signed the corresponding contract.
Authorized payment methods:
- Credit or debit card
- Bank transfer (ACH)
- Other electronic systems previously authorized by SurpaTex LLC
All payments are processed through secure platforms, and once the payment is confirmed, the client will receive an official receipt along with an electronic transaction confirmation.
3.2 Delays, Partial Payments, and Late Fees
If the client does not make full payment by the agreed date:
- SurpaTex LLC will suspend service execution until full payment is received.
- If service begins with an authorized partial payment, it may be interrupted if the outstanding balance is not settled.
- A late fee of 1.5% monthly (0.05% daily) on the outstanding amount may be applied, according to Texas state law, respecting the maximum legal limits.
- All outstanding balances must be settled before rescheduling new services.
3.3 Price Adjustments Due to Extraordinary Circumstances
SurpaTex LLC commits to maintaining the agreed prices during the entire term of the annual plan. However, in cases of extraordinary and unforeseen increases in operating costs, a reasonable adjustment may be proposed. Valid causes include:
- Significant inflation
- Increase in fuel prices
- Material shortages
- Regulatory or tax changes
- Waste disposal fees
- Severe weather events or force majeure
- Supply chain interruptions
- Other conditions beyond the company’s control
The client will be notified in writing at least 30 days in advance. The client may:
- Accept the adjustment and continue with the plan, or
- Reject it and cancel the service without penalty, with a proportional refund for services not rendered.
3.4 Refunds and Returns
Refunds will be issued only in the following cases:
- Valid cancellation by the client, in accordance with these Terms and Conditions.
- Breach by SurpaTex LLC, provided that such breach is:
- Material, meaning it significantly affects the quality, integrity, or delivery of the contracted service (e.g., failure to perform the service, partial service without justified cause, or damages attributable to SurpaTex LLC personnel).
- Repeated, in case SurpaTex LLC incurs in systematic failures (more than two similar incidents within the same service cycle), despite timely notification by the client.
Procedure:
- The client must submit a refund request in writing, either digitally (email or web form) or physically, within 15 business days after the incident or cancellation date.
- SurpaTex LLC will evaluate the request and communicate the decision within 15 business days.
- If approved, the refund will be made using the original payment method within 30 business days.
- If denied, the client may request an additional review through a written appeal, providing evidence or arguments to justify reconsideration.
- The appeal will be reviewed by an internal committee or a mediator appointed by SurpaTex LLC, who will issue a final binding decision within 15 business days of receiving the appeal.
3.5 Cancellations by the Client
a) Cancellation for personal reasons
- The client may cancel an annual plan by notifying in writing at least 30 days in advance.
- No refund will be given unless a valid and verifiable cause is determined (moving, death, force majeure, etc.).
- In approved cases, a proportional refund will be issued for services not rendered, calculated according to the original service price within the plan.
b) Cancellation due to breach by SurpaTex LLC
- If cancellation is due to verifiable deficiencies or breach of agreed terms by SurpaTex LLC, a proportional refund will be issued for services not rendered.
3.6 Penalties for Late Cancellations or No-Shows
- Cancellations made less than 48 hours before the scheduled date may be subject to a charge equivalent to the minimum base service fee.
- In case of no-show without prior notice, SurpaTex LLC may:
- Charge the minimum fee for travel and preparation.
- Cancel the service without obligation to refund.
3.7 Termination of Service by SurpaTex LLC
SurpaTex LLC may unilaterally cancel any contract or plan if the client:
- Violates the established terms and conditions.
- Acts disrespectfully, abusively, or threatens the staff.
- Deliberately or repeatedly obstructs the execution of the service.
In these cases, the contract may be canceled without refund, unless the company decides otherwise as part of a fair solution.
3.8 Billing or Payment Disputes
In case of discrepancies regarding a bill or charge:
- The client must notify SurpaTex LLC in writing within 10 business days after receiving the invoice.
- The company will investigate and respond within 15 business days.
- If unresolved amicably, both parties may resort to mediation or arbitration according to Texas law.
3.9 Changes in Payment Methods or Dates
Any requested change in payment method or date must be made:
- At least 5 business days in advance.
- SurpaTex LLC reserves the right to accept or reject such request within 3 business days.
- Failure to comply may result in additional charges or service suspension.
3.10 Notification of Changes
Any change in prices, conditions, or policies will be notified via:
- Text message
- Recorded phone call
If the client does not express objections in writing within 7 business days, acceptance of the changes will be presumed.
4. Cancellation, Rescheduling, and No-Show Policy
SurpaTex LLC maintains clear policies regarding the cancellation or rescheduling of services in order to ensure fair, transparent, and efficient operations for all parties involved. This section provides a summary of those policies; for full details, please refer to Section 2 (Service Engagement Process) and Section 3 (Payments, Pricing, Adjustments, and Cancellations).
4.1 Rescheduling by the Client
- Clients may reschedule the initial evaluation visit directly through SurpaTex LLC’s official website, with at least 48 hours’ notice, free of charge.
- For confirmed service appointments, a minimum of 48 hours’ notice is also required to reschedule. Failure to comply may result in an additional rescheduling fee.
- Rescheduled appointments are subject to availability and immediate alternative dates are not guaranteed.
4.2 Cancellations by the Client
- Clients may cancel services or service plans under the following conditions:
- Voluntary cancellation: A written notice must be submitted at least 30 days in advance. No refund will be issued unless the cancellation is due to verifiable and exceptional reasons (e.g., relocation, force majeure, death, etc.).
- Cancellation due to non-performance by SurpaTex LLC: A pro-rated refund will be issued for services not rendered, based on the original per-service rate in the agreement.
- All cancellation requests must be submitted in writing, either digitally or physically, and within the required notice period.
4.3 No-Shows or Denied Access
- If the client fails to be present or does not provide access to the service location at the scheduled date and time, without prior notice, SurpaTex LLC may:
- Charge a minimum fee to cover travel and preparation costs.
- Cancel the service without issuing a refund, where applicable.
- This policy applies to both one-time services and recurring visits under annual plans.
4.4 Rescheduling or Cancellations by SurpaTex LLC
- In the event of inclement weather, high demand, or unforeseen circumstances, SurpaTex LLC may reschedule the service and will notify the client with reasonable advance notice.
- If the company cancels a service for operational reasons, the client may choose to reschedule or receive a full refund for the unrendered service.
4.5 Confirmations and Official Communication
- All cancellations and rescheduling requests must be made through authorized official channels: the company’s website, corporate email, or official customer service phone line.
- All changes will be logged electronically and the client will receive confirmation via the same channel.
5. Responsibilities and Limitations
SurpaTex LLC establishes the following responsibilities, limitations, and conditions to ensure the proper execution of contracted services. These provisions aim to protect both the client and the company, ensuring a transparent, efficient, and conflict-free experience.
5.1 Client Responsibilities
The client agrees to:
- Guarantee free, safe, and timely access to the property and areas where the service will be performed.
- Remove personal items or obstacles that may interfere with the safe and effective delivery of the service.
- Provide truthful and complete information about the conditions of the site, including delicate surfaces, sensitive materials, or restricted access areas.
- Comply with agreed payments and respect the established dates and schedules.
SurpaTex LLC is not responsible for delays, rescheduling, or failures resulting from lack of cooperation or preparation by the client.
5.2 SurpaTex LLC Responsibilities
SurpaTex LLC commits to:
- Perform all services according to the agreed scope, using trained personnel and appropriate equipment.
- Maintain safety and professional quality standards during service delivery.
- Timely communicate any situation that may prevent or delay the execution of the service.
5.3 Limits of Liability
SurpaTex LLC shall not be liable for:
- Pre-existing damages to structures, surfaces, or work areas.
- Damages resulting from the normal use of professional machinery or hidden conditions not disclosed by the client.
- Accidents or injuries occurring outside the direct scope of the provided service.
- External interruptions beyond the company’s control (power outages, traffic, blocked access, extreme weather, etc.).
Any claim must be notified in writing within 72 hours following service execution. After this period, SurpaTex LLC reserves the right to reject the claim due to untimeliness.
5.4 Exclusion of Implied Warranties
Unless expressly stated in a signed agreement, SurpaTex LLC does not offer implied warranties regarding specific results, duration of service effects, or indirect benefits. Any explicit warranty will be detailed in the corresponding contract and limited to what is specified therein.
5.5 Risks Assumed by the Client
By contracting our services, the client acknowledges that certain tasks—such as pressure cleaning, debris removal, or lawn care—may involve reasonable risks (e.g., peeling of deteriorated paint, movement of heavy objects, etc.). These risks will be minimized through professional practices but cannot be entirely eliminated. The client assumes these risks upon approving the service execution.
5.6 Interruptions and Delays in Service Execution
- Interruptions due to external causes or the client:
If during service execution the SurpaTex LLC team has subsequent scheduled commitments and a delay occurs due to external factors or the client, SurpaTex LLC reserves the right to interrupt the work and continue with its scheduled agenda. In this case, a new date and time will be arranged to complete the pending service at no additional cost to the client. - Delays attributable to SurpaTex LLC:
If the SurpaTex LLC team arrives late or delays service execution due to reasons attributable to the company, SurpaTex LLC will promptly inform the client and, unless the delay prevents continuation with the day’s schedule, will complete the service at the agreed date and time. If the delay causes service interruption, a new appointment will be coordinated at no additional cost, and a proportional discount or compensation may be applied as determined by the company.
5.7 Claims and Damage Reporting Procedure
Means to submit claims:
The client must submit any claim, damage report, or service dissatisfaction in writing, either by email to SurpaTex LLC’s official address, via the contact form on the website, or by physical letter sent to the corporate address. The claim must include clear and precise details of the issue.
Claim submission deadline:
Claims must be made within 72 hours after service completion. After this period, SurpaTex LLC may reject claims due to excessive time lapse for verification and response.
Response and resolution process:
SurpaTex LLC will confirm receipt of the claim within 48 business hours. The company will evaluate the case and commit to providing a definitive response—whether approving correction, offering an alternative solution, or rejecting the claim—within 15 business days from receipt.
Corrective actions:
If SurpaTex LLC determines the claim is valid, it may offer a free service correction, partial or full refund, or any other reasonable compensation deemed appropriate to fairly resolve the situation.
6. Data Protection and Confidentiality
SurpaTex LLC is committed to protecting the personal and confidential information of its clients, suppliers, and any third party with whom it interacts. The processing of personal data is carried out in accordance with applicable legislation in the State of Texas and the United States, ensuring the principles of legality, consent, information, quality, purpose, fairness, proportionality, and accountability.
6.1 Information Collected
SurpaTex LLC may collect the following information, among others:
- Full name and contact details (email, phone).
- Service location address.
- Technical information relevant to the service (type of property, surface, site photos, etc.).
- Client preferences, service history, and specific conditions agreed upon.
6.2 Purpose of Data Processing
Personal data will be used exclusively for:
- The delivery and management of the contracted services.
- Invoicing, billing, and payment follow-up.
- Customer service, incident resolution, and quality control.
- Compliance with legal and regulatory obligations.
- Sending communications related to the services.
SurpaTex LLC will not share, sell, or transfer personal data to third parties without the client’s express consent, except under legal obligation or request from a competent authority.
6.3 Security Measures
The company implements technical, administrative, and organizational measures to protect personal data against unauthorized access, loss, alteration, or misuse. These include, but are not limited to:
- Secure payment platforms and encrypted communications.
- Internal access controls.
- Privacy policies for employees and vendors.
- Storage on protected servers.
6.4 Data Access, Correction, and Cancellation
Clients have the right to:
- Request access to their stored personal data.
- Correct inaccurate or outdated information.
- Request deletion of data when no longer necessary for the stated purposes.
- Object to the use of their data for non-essential purposes.
To exercise these rights, the client must submit a written request, either digitally (via email or official web form) or physically, to the corporate address of SurpaTex LLC. The company will respond to such requests within a maximum of 15 business days from receipt.
6.5 Confidentiality
All technical, commercial, or any other kind of information shared by the client during the course of the contractual relationship will be treated as confidential and will not be disclosed without authorization, unless legally required. This confidentiality commitment remains in effect even after the commercial relationship ends.
6.6 Potential Future Use of Information with Consent
SurpaTex LLC does not sell or share personal information with third parties. However, the company reserves the right to offer, in the future, complementary products or services from strategic partners, as long as it obtains the client’s prior, specific, and informed consent.
The client may expressly accept or reject the use of their information for such purposes, without this affecting their relationship with SurpaTex LLC or access to the contracted services.
Privacy Policy (Executive Summary)
SurpaTex LLC collects, stores, and uses personal information solely for the purposes described in this document. All data is handled confidentially and in accordance with appropriate security standards, in line with the laws of the State of Texas and U.S. federal regulations.
Any individual may exercise their rights to access, rectify, cancel, or object (ARCO rights) by submitting a written request via email or through the designated form available on SurpaTex LLC’s official website.
SurpaTex LLC will not share, sell, or transfer personal data to third parties without the express consent of the data subject, unless required by law or a competent authority.
Any changes to this policy will be communicated to clients through the contact methods they have registered, and will take effect from the date indicated in the notification.
7. Amendments to the Terms and Conditions
SurpaTex LLC reserves the right to modify, update, or supplement these Terms and Conditions at any time, with the purpose of adapting them to legal changes, service improvements, or new business practices.
7.1 Notification Procedure
Any modification will be communicated to the client at least 15 days in advance through the registered contact methods, which may include email, text message, or communication via the official web portal.
SurpaTex LLC may also make recorded phone calls to ensure the client receives and acknowledges the modifications.
7.2 Confirmation and Acceptance of Changes
The client must confirm receipt of the notification within 7 days of the notice. If no confirmation is received, SurpaTex LLC may consider that the client tacitly accepts the modifications, unless the client expresses disagreement in writing within that period.
In case of disagreement, the client may:
- Request cancellation of their current plan or service without any penalty.
- Continue with the services under the new terms, if expressly decided.

8. Governing Law and Jurisdiction
8.1 Governing Law
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the State of Texas, as well as the federal legislation of the United States of America, to the extent applicable.
8.2 Jurisdiction
For the interpretation and enforcement of these terms, both parties agree to submit to the jurisdiction of the competent courts of Travis County, Texas, expressly waiving any other jurisdiction that may correspond to them by reason of present or future domicile.
8.3 Alternative Dispute Resolution
In case of disputes, before resorting to judicial instances, the parties will seek to resolve their differences amicably. If no agreement is reached, they may opt for mediation or arbitration mechanisms in accordance with the legislation of the State of Texas.
9. Partial Validity
If any provision contained in these Terms and Conditions is declared invalid, null, or unenforceable by a competent authority, such provision shall be severed from the rest of the document and shall not affect the validity, enforceability, or applicability of the remaining provisions herein.
